Strategic Finds ("Strategic Finds", "we", "us") values your privacy. This policy explains how we collect, use, and protect personal information when you visit our website, contact us, or engage our deal-sourcing and M&A advisory services.

Information We Collect

• Business data: business type, asking price, industry, location, revenue details
• Transaction data: proposals, introductions, agreements, and communications
• Technical data: IP address, device/browser information, pages viewed, referring URLs
• Marketing data: form submissions, campaign UTM parameters
• Aggregated, non-identifiable performance metrics (via cookie-free tools like Vercel Analytics)

How We Use Information

• Respond to inquiries, match buyers and sellers, and facilitate introductions
• Operate and improve our website, platform, and communications
• Comply with legal obligations and enforce agreements
• Send updates, notifications, or marketing where permitted; you can opt out anytime

Cookies & Analytics

We may use essential cookies and analytics tools (such as Google Analytics, Meta Pixel, and Vercel Analytics) to understand site performance. Google Analytics and Meta Pixel may use cookies to collect anonymized or pseudonymized usage data, including IP addresses and browser details. Vercel Analytics and Speed Insights do not use cookies and collect only aggregated, non-identifiable metrics such as page views, device/browser/OS, country-level location, network speed, and Core Web Vitals. Vercel deletes this data within 24 hours. You can manage cookies in your browser settings.

Sharing

We do not sell personal information. We share data with service providers (hosting, email/CRM, analytics, communication platforms) under contracts that restrict use to our instructions, and as required by law or to protect rights and safety. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Retention & Security

We retain personal data only as long as needed for the purposes above and legal requirements. We implement reasonable technical and organizational measures; however, no method is 100% secure.

Your Rights

Depending on your location, you may request access, correction, deletion, or portability of your data, and opt out of marketing. Contact: contact@strategicfinds.com.

Legal Basis for Processing (GDPR)

Where applicable, we process personal data under consent, contract, or legitimate interest (such as improving site performance and security).

CCPA/CPRA Notice (California)

California residents may request access/deletion and opt out of "sharing" for cross-context advertising. We do not sell personal information for money. Certain tools (e.g., advertising cookies) may be considered "sharing" under CCPA. To opt out, disable advertising cookies in your browser or contact us at contact@strategicfinds.com.

Children's Privacy

Our services and site are not directed to children under 16 and we do not knowingly collect their data.

Buyer Portal Privacy Addendum

Applies to users of the Strategic Finds Buyer Portal at strategicfinds.com/portal. Effective [publish date]. Supplements — and where the subject is unique to the Buyer Portal, governs in addition to — the Privacy Policy above.

Additional Information We Collect (Buyer Portal Users)

• Account credentials: email address, hashed password, one-time login codes, and authentication session tokens.
• Acquisition criteria ("Buy Box"): target industries, revenue and EBITDA ranges, employee count, asking-price range, geographic preferences, strategic rationale, and any free-text notes you provide.
• Activity data: listings viewed, saved, or passed; intro requests sent; search queries entered; notifications received and read; messages exchanged through the portal.
• Subscription & billing data: plan tier, billing status, monthly credit allocation and usage, payment receipts, and (where applicable) tax identifiers. Full payment-card details are submitted directly to our payment processor (Stripe) and are not stored on Strategic Finds' systems.
• Team data: for organizations with multiple users on one buyer account, the email addresses, roles, and invitation status of each invited team member.
• Derived signals: fit scores, listing rankings, AI-generated short summaries, and similar inferences produced to help match buyers to opportunities.

Categories of Personal Information (CCPA, last 12 months)

• Identifiers: name, email, phone, user ID, IP address, billing address.
• Commercial information: subscription status, billing history, intro credits used, overflow charges, payment receipts.
• Internet activity: pages viewed, listings interacted with, search queries, notifications read, session metadata.
• Professional information: company name, role, Buy Box criteria, deal preferences, transaction history.
• Geolocation (coarse): approximate location derived from IP. We do not collect precise geolocation.
• Inferences: fit scores, listing rankings, and other derived signals used to match buyers and sellers.

Sensitive Personal Information

Strategic Finds does not knowingly collect "sensitive personal information" as that term is defined under California or comparable U.S. state law. Government identifiers, financial-account credentials, biometric data, precise geolocation, racial or ethnic origin, and religious beliefs are not collected through the Buyer Portal.

Sources of Information

We collect this information directly from you (registration, onboarding, buy-box updates, profile edits, and agreement signatures), automatically through your use of the portal (server logs, session telemetry, analytics), and from service providers (payment processor, identity/email verification, anti-fraud tooling).

How We Use Buyer Portal Information

• Authenticate your account and maintain your session.
• Match your Buy Box against listings, generate fit scores and recommendations, and surface opportunities you may want to evaluate.
• Process subscription payments, allocate and track monthly intro credits, calculate overflow charges, and issue refunds where applicable.
• Coordinate introductions between you and sellers after both parties have accepted.
• Send transactional notifications (intro status, billing receipts, security alerts) and, where you have not opted out, product updates and marketing.
• Detect, investigate, and prevent fraud, abuse, or violations of our Terms.
• Improve our matching, ranking, and search systems using aggregated or de-identified data.

Sub-Processors and Service Providers

Buyer Portal data is shared with the following categories of providers, each under a written contract that restricts use to our instructions:

• Hosting, database, authentication, and realtime infrastructure: Supabase.
• Application hosting and edge delivery: Vercel.
• Subscription billing and payment processing: Stripe. Stripe is independently certified PCI-DSS Level 1 and processes payment card data directly.
• Transactional and outreach email delivery: SendGrid.
• AI/ML processing (embeddings, semantic search, summary generation): OpenAI and Pinecone (or equivalent vector-database providers). Content submitted to these providers under our enterprise API agreements is not used to train their public foundation models.
• Analytics & error reporting: Google Analytics, Meta Pixel, and Vercel Analytics, as described in the main Privacy Policy.

A current list of material sub-processors is available on request at contact@strategicfinds.com. A Data Processing Addendum (DPA) is available to business users on request.

Authentication & Session Storage

Buyer Portal sign-in is managed by Supabase Auth. When you sign in, an authentication token is stored in your browser's local storage so that you remain signed in between visits. Clearing your browser storage or signing out terminates the session.

Automated Decision-Making and AI

Strategic Finds uses automated systems — including large-language models and vector embeddings — to interpret your search queries, score buyer-listing fit, rank opportunities, and generate short "Why this fits" summaries. These systems assist, but do not replace, human judgment by our advisors, who remain responsible for decisions that materially affect deal flow. No automated processing in the Buyer Portal produces legal or similarly significant effects on you without human involvement. Where applicable law grants you a right to opt out of profiling, you may exercise that right by writing to contact@strategicfinds.com.

Account Deletion & Deactivation

You may close your Buyer Portal account at any time from Account → Danger Zone in the portal, or by writing to contact@strategicfinds.com. Deactivation suspends access while preserving your records. Deletion removes your personal data, subject to records we are required to retain for tax, accounting, audit, anti-fraud, or other legal purposes. Backups containing deleted data are overwritten on our regular backup rotation, typically within 90 days.

Retention (Buyer Portal)

We retain Buyer Portal account data for as long as the account is active and for a reasonable period thereafter to support legal, accounting, and audit requirements. Subscription, billing, finder's-fee, and introduction records are retained for the period required by applicable law (generally seven years for tax and accounting records in the United States).

International Data Transfers

Strategic Finds operates from the United States. If you access the Buyer Portal from the European Economic Area, the United Kingdom, Switzerland, or another jurisdiction whose law restricts cross-border transfers, your personal information will be transferred to and processed in the United States and other jurisdictions where our service providers operate. Where required, transfers rely on Standard Contractual Clauses or other lawful transfer mechanisms with the relevant provider.

Security Incident Notification

In the event of a personal-data breach affecting Buyer Portal users, Strategic Finds will notify affected users and applicable regulators within the timeframes required by law.

Global Privacy Control

Strategic Finds honors the Global Privacy Control ("GPC") browser signal as a valid opt-out request from California, Colorado, and Connecticut residents under applicable state privacy law.

Children's Privacy — Parental Procedure

Buyer Portal services are not directed to children. Strategic Finds does not knowingly collect personal information from anyone under 16. If a parent or guardian believes a child has provided information through the Buyer Portal, contact contact@strategicfinds.com and the information will be deleted.

SMS Communication Policy

Effective Date: August 1, 2025

Strategic Finds communicates with clients by text message (SMS) for service-related purposes only. All text messages originate from our business number +1 (435) 523-2220. We do not send promotional or bulk marketing texts.

Clients consent to receive text messages when they create a seller account and list their business on our platform at strategicfinds.com, or verbally with documented consent during a phone call or in-person conversation with a Strategic Finds representative. No automatic opt-ins are used without user action.

At the point of opt-in, users are presented with the following disclosure: "By submitting your phone number, you agree to receive SMS messages from Strategic Finds at the number provided regarding potential buyer matches and listing updates. Message frequency varies. Message & data rates may apply. Reply STOP to opt out, HELP for help."

By agreeing, you authorize Strategic Finds to send you informational messages about potential buyer matches, introduction opportunities, and updates related to your listing. Message and data rates may apply. Message frequency varies based on buyer activity and your listing status. Consent to receive messages is not a condition of any purchase or service.

Sample Message: "Strategic Finds: Hi [first-name], a qualified buyer is interested in your [industry-type] business in [city/region]. Would you like an introduction? Reply YES to connect. Reply STOP to opt out or HELP for assistance."

You may opt out at any time by replying STOP. After opting out, you will no longer receive SMS messages unless you provide new consent. To request assistance, reply HELP or contact us at contact@strategicfinds.com or call +1 (435) 523-2220.

Text messages are processed by secure third-party communication providers who support our CRM and messaging systems. Data shared via SMS is handled in accordance with this Privacy Policy and applicable regulations. We retain SMS logs only as long as necessary for business records and legal compliance.

Email Communications Policy

Strategic Finds communicates with Buyer Portal users primarily by email. Emails fall into two categories:

• Transactional & Account Emails. Sign-in codes, password resets, billing receipts, intro status updates (request sent, seller accepted/declined, contact disclosed), credit-allocation notices, account-security alerts, and finder's-fee agreement notices. These messages are necessary to operate your account and cannot be opted out of while the account is active.
• Product, Marketing & Newsletter Emails. Listing-of-the-week updates, new-feature announcements, market commentary, and similar communications. You may opt out at any time by clicking the unsubscribe link in any such email or by writing to contact@strategicfinds.com.

Emails are delivered through third-party providers (currently SendGrid) under contracts that restrict use of your data to our instructions. Limited delivery and engagement metadata (delivered, opened, clicked, bounced) is collected to maintain deliverability and detect abuse.

If you receive an unexpected email purporting to come from Strategic Finds, do not click any links and forward the message to contact@strategicfinds.com.

8. Changes to Terms

We may update these Terms at any time. Continued use of the site constitutes acceptance of the updated Terms.

Buyer Portal Terms

Effective [publish date]. Sections 9–29 below apply to users of the Strategic Finds Buyer Portal at strategicfinds.com/portal in addition to Sections 1–8 above. Where a conflict exists between Sections 1–8 and Sections 9–29 on a matter specific to the Buyer Portal, Sections 9–29 control.

9. Eligibility

The Buyer Portal is intended for users who are at least 18 years old and who are acting on their own behalf or on behalf of a legal entity they are authorized to bind. By registering, you represent that you meet these requirements, that you are not a person or entity subject to U.S., U.N., EU, or U.K. sanctions, and that you are not located in a jurisdiction where use of the service is prohibited. Strategic Finds may decline registration or terminate accounts at its discretion.

10. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information, keep it current, promptly notify us of any unauthorized use, and not share, sell, or transfer access to any third party. Strategic Finds is not liable for losses caused by unauthorized access where you have failed to take reasonable steps to protect your credentials.

11. Team Accounts

An organization that subscribes to the Buyer Portal may invite additional users from the same organization to access the buyer account. The primary account holder is responsible for the actions of all invited users, for ensuring they comply with these Terms and any signed Finder's Fee Agreement, and for revoking access when an invited user no longer requires it.

12. Subscription, Credits & Billing

The Buyer Portal is a subscription service. By subscribing, you authorize Strategic Finds and its payment processor (Stripe) to charge your payment method on file each billing period at the then-current rate for your chosen plan.

• Auto-renewal. Paid plans renew automatically each billing period until cancelled. You may cancel at any time from Account → Subscription. Cancellation takes effect at the end of the current billing period unless you choose immediate cancellation.
• Intro credits. Each plan includes a fixed allotment of intro credits per billing period. Unused credits expire at the end of the period and do not roll over.
• Overflow pricing. If you exhaust your monthly credits, additional intro requests are billed at the then-current per-intro overflow rate. Overflow charges appear on your next invoice.
• Credit refunds. Credits and overflow charges are refunded automatically when (a) a seller declines an intro request, or (b) the seller does not respond within ten (10) days of the request. Refunds are issued as portal credits applied to your balance, not as cash. Monthly intro credits are returned to your active billing period; per-intro overflow charges convert to non-expiring rollover credits. Credits and overflow charges are not refunded for subscription cancellation or for unused monthly credits at the end of a billing period.
• Taxes. Subscription prices do not include sales tax, VAT, or similar taxes. Tax is calculated based on your billing address; you remain responsible for any taxes not collected by Strategic Finds.
• Failed payments. Failed payments enter a short grace period. Access may be suspended or terminated if payment is not resolved within the grace window.
• Material price changes. We will provide advance notice by email of any material change to subscription pricing and, where required by law, will obtain your renewed consent before charging the new rate.
• Chargebacks. Please contact us before initiating a chargeback for any disputed charge. Improper chargebacks may result in account termination and forfeiture of remaining credits and access, without refund.

13. Finder's Fee Agreement

Before you may request introductions through the Buyer Portal, you must sign a Finder's Fee Agreement. Two forms are in use: a Lehman-scale agreement that applies to buyers brought in through Strategic Finds' direct outreach, and a flat-rate agreement that applies to buyers who register through the Buyer Portal. The applicable form is determined by how you were onboarded and, once signed, is binding on both parties. The Finder's Fee Agreement prevails over these Terms in the event of conflict on matters within its scope.

14. Listings, Anonymization & Confidentiality

Listings displayed in the Buyer Portal are anonymized. Seller identity, financials, and other confidential details are disclosed only after you request an introduction and the seller accepts.

All information disclosed to you after seller acceptance is confidential and may be used solely to evaluate a potential acquisition. You agree not to identify, contact, or solicit the seller outside the platform without Strategic Finds' written consent, and not to disclose confidential information to any third party except advisors bound by equivalent confidentiality obligations.

15. Non-Circumvention

For a period of twenty-four (24) months following an introduction made through the Buyer Portal, you agree not to close or attempt to close a transaction with the introduced seller — or any affiliate of the seller — outside the Strategic Finds platform without paying the finder's fee set out in the applicable Finder's Fee Agreement. This obligation survives termination of your account.

16. AI-Assisted Content & Beta Features

Portions of the Buyer Portal — including search results, fit scores, listing rankings, and "Why this fits" summaries — are generated, ranked, or augmented by automated systems including large-language models and vector-similarity search. This content is informational and may contain errors, omissions, or out-of-date data. It is not a representation of suitability, value, or accuracy and is not a substitute for your own due diligence or for professional advice.

Strategic Finds does not guarantee uninterrupted or error-free operation of the Buyer Portal. Beta or experimental features are made available "as is," may change without notice, and may be modified or discontinued at any time.

17. Acceptable Use

In addition to Section 3, you agree not to:

• access the service through automated means, including scrapers, crawlers, or bots, except as expressly permitted in writing;
• reverse engineer, decompile, or attempt to extract source code, model weights, or proprietary data from any portion of the service;
• circumvent rate limits, paywalls, credit accounting, or other access controls;
• maintain more than one Buyer Portal account per individual without written authorization;
• use the service to harass, defraud, spam, or solicit other users outside the platform;
• export, redistribute, or resell listing data, fit scores, AI-generated summaries, or other portal content; or
• interfere with the integrity or performance of the service.

18. User-Submitted Content

You retain ownership of information you submit through the Buyer Portal. By submitting content, you grant Strategic Finds a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and display the content as necessary to operate the service. The license terminates when you delete the content, except as needed for backups, audit, and legal records. Suggestions or feedback you provide may be used without restriction or compensation.

19. No Guarantee of Match or Transaction

Strategic Finds makes no guarantee that you will receive any specific match, that any seller will accept an introduction, or that any transaction will close. Listings, fit scores, and AI-generated summaries are informational and do not constitute representations of suitability, accuracy, or value.

20. Dual Representation

Strategic Finds may act as advisor to both the seller and the buyer in a single transaction. By using the Buyer Portal, you acknowledge and consent to this arrangement. Strategic Finds will use commercially reasonable efforts to manage information appropriately and to disclose material conflicts as they arise.

21. Disputes Between Users

Strategic Finds is not a party to transactions between buyers and sellers and is not responsible for the conduct, representations, or solvency of any user. Disputes between buyers and sellers must be resolved between those parties.

22. Indemnification

You agree to indemnify and hold Strategic Finds, its affiliates, officers, employees, and agents harmless from claims, damages, and reasonable expenses (including attorneys' fees) arising from (a) your breach of these Terms, the Privacy Policy, or any signed Finder's Fee Agreement; (b) your misuse of the Buyer Portal; (c) your dealings with other users; or (d) any claim that content you submitted infringes a third party's rights or violates law.

23. Limitation of Liability (Buyer Portal)

To the fullest extent permitted by law, Strategic Finds' aggregate liability for any claim arising out of or relating to your use of the Buyer Portal is limited to the greater of (a) the amount you paid to Strategic Finds for the Buyer Portal in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Section 6 (Disclaimers & Limitation of Liability) continues to apply.

24. Termination & Survival

You may close your Buyer Portal account at any time as described in the Privacy Policy. Strategic Finds may suspend or terminate your account for breach of these Terms or any signed Finder's Fee Agreement, for fraud or abuse, or as required by law. Sections relating to confidentiality, non-circumvention, intellectual property, indemnification, limitation of liability, and dispute resolution survive termination.

25. Sanctions and Anti-Money-Laundering

You represent that you are not, and are not acting on behalf of, any party subject to U.S., U.N., EU, or U.K. sanctions, and that funds used for any subscription or transaction are not derived from unlawful activity. Strategic Finds may screen users against sanctions lists and may suspend or terminate accounts as required to comply with applicable law.

26. Force Majeure

Strategic Finds is not liable for any failure or delay in performance caused by events outside its reasonable control, including natural disasters, network or service-provider outages, cyberattacks, acts of war or terrorism, labor disputes, or government action.

27. Notices

Notices to users will be sent to the email address on file for the account or posted in the Buyer Portal. Notices to Strategic Finds must be sent to contact@strategicfinds.com.

28. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without Strategic Finds' prior written consent. Strategic Finds may assign these Terms in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its assets.

29. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, any signed Finder's Fee Agreement, and any plan or billing terms presented at the point of subscription, constitute the entire agreement between you and Strategic Finds regarding your use of the Buyer Portal.

1. Program Description

Strategic Finds provides SMS communications to business owners who have listed on our platform or who have verbally consented with documented consent during a phone call or in-person conversation. Messages are service-related and informational only. No marketing or promotional messages are sent. Consent to receive messages is not a condition of any purchase or service.

2. Opt-Out Instructions

You may cancel the SMS service at any time by texting "STOP" to +1 (435) 523-2220. After you send "STOP," you will receive a confirmation message that you have unsubscribed.

3. Rejoining Instructions

To rejoin, contact a Strategic Finds representative and verbally provide consent again, or text "START" to +1 (435) 523-2220.

5. Carrier Liability Disclaimer

7. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect and use information. No mobile information will be shared with third parties/affiliates for marketing or promotional purposes.

8. Compliance with Industry Standards

This program adheres to the CTIA Short Code Monitoring Handbook and A2P 10DLC industry standards, including transparent opt-in and opt-out processes, data-privacy safeguards, and clear user disclosures.

9. Legal Compliance

Strategic Finds complies with all applicable federal and state communications laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier-specific messaging guidelines.

10. Prohibited Content & Carrier Fines

In accordance with T-Mobile and other carrier policies, the following content is strictly prohibited in any A2P message:

• Tier 1 ($2,000 fine): Phishing, smishing, social engineering, or similar fraudulent activity
• Tier 2 ($1,000 fine): Illegal content (federally and in all 50 states)
• Tier 3 ($500 fine): Other violations, including SHAFT content that fails to follow federal and state regulations

11. Changes to These Terms

We may modify these Terms of Service from time to time. The "Effective Date" above will update accordingly. Continued participation in the SMS program after any update constitutes acceptance of the revised Terms.

• Fit scoring. A buyer's Buy Box is compared to each listing's attributes to produce a numeric fit score and tier (Strong / Possible / Outside box).
• Generated summaries. Short "Why this fits" blurbs are produced to help you evaluate a listing at a glance.
• Internal assistance. Advisor-side tools use AI to summarize calls, draft emails, and prioritize follow-up.

These systems support — but do not replace — human judgment by Strategic Finds' advisors and licensed counsel where relevant. AI-generated content may be incomplete, inaccurate, or out of date. Material decisions about a transaction should be based on your own due diligence and on advice from qualified professionals.

We do not permit third-party AI providers to use your submitted content to train their public foundation models. We may use aggregated or de-identified data to improve our own matching and ranking systems.
